Terms of Service

These General Terms and Conditions apply to all contracts between TRAUNDESIGN e.U. Roland Fraunberger (hereinafter "Contractor") and the Client for the provision of services in the field of user experience design, web development, and digital consulting.

Offers from the Contractor are non-binding. A contract is only concluded upon written order confirmation or by the commencement of service provision. Oral side agreements require written confirmation.

The scope of services to be provided is determined by the service description in the offer or order confirmation. Changes and extensions require a separate agreement. The Contractor is entitled to engage subcontractors to fulfill its service obligations.

The Client shall provide the Contractor with all documents, information, and access required for the execution of the project in a timely manner and free of charge. Delays caused by late cooperation from the Client entitle the Contractor to postpone deadlines accordingly.

Compensation is based on the agreed offer. Unless otherwise agreed, invoices are payable within 14 days of invoice date without deduction. For projects with a longer duration, the Contractor is entitled to request installment payments.

Upon full payment of the agreed compensation, the Client receives the exclusive, unlimited usage rights to the created works for the agreed purpose of use. The Contractor reserves the right to use the created works for reference purposes unless expressly agreed otherwise.

The Contractor warrants that the services comply with the agreed scope of services. Defects must be reported immediately in writing. The warranty period is 12 months from acceptance.

The Contractor's liability is limited to intent and gross negligence. Liability for slight negligence as well as for consequential damages and lost profits is excluded.

Both parties undertake to keep confidential information of the other party secret and to use it only for the execution of the project.

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Wels, Austria. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
